By accessing our website (www.sovparlacloche.com) or mobile app (SOV par la cloche), social media pages, other digital tools, or by clicking "I Agree" (or any other similar electronic acceptance), you agree to these Terms of Use. Please read them carefully before proceeding.

By accessing SOV par la cloche, you acknowledge that you have read and agreed to the Terms of Use set out below. If you do not wish to be bound by these terms, please refrain from accessing and using our services.

We reserve the right to update or modify the Terms of Use, as well as to change, remove, or update the website and mobile app content, in whole or in part. Should this occur, we will post a notice on our platforms. Your continued use of SOV par la cloche constitutes your acceptance of the changes.

Anyone who downloads the SOV par la cloche app and intends to use it will be asked to accept these Terms of Use during the subscription process. About us

The website SOVparlacloche.com (the "Site") and the SOV par la cloche mobile app (the "App") are owned and operated by SOV par la cloche inc., a registered company located in Quebec, Canada. The terms "we," "us," and "our" refer to SOV par la cloche.

SOV par la cloche est une entreprise offrant à ses membres admissibles (les « Utilisateurs SOV par la cloche is a company that provides its eligible members (the "Users") with a mobile app designed to help them escape uncomfortable social or professional situations or gracefully and politely end lingering conversations. Users can initiate calls instantly or schedule them for later. These simulated calls go directly to the Users' phones. When the call arrives, Users only need to answer and follow the script as if speaking to someone on the line. This gives them a legitimate excuse to exit an uncomfortable social or professional situation or wrap up a lengthy conversation.

Access to SOV par la cloche's App and services

To use the App, Users must have a phone and be connected to a Wi-Fi network or have mobile data enabled.

By navigating our Site, using our App, or engaging with our social media, you implicitly agree to comply with these Terms of Use. In the event of non-compliance with these terms, misuse, or any defamatory, hateful, or fraudulent behaviour, we reserve the right to suspend your access to the App, delete your Account on the App, block your access and participation on our social media platforms, or delete any messages or remove any content we deem inappropriate or offensive. We also reserve the right to pursue legal action, including, but not limited to, reporting any unauthorized or illegal use of the Site or the App to law enforcement or regulatory agencies or to any affected party.

We may modify, optimize, suspend, or remove any feature on the App or our services for any reason. This includes instances in which our Site, App, or social media platforms are affected by an unforeseeable and unavoidable event, including any disruption or cause beyond our control.

We may need to suspend access to our Site, App, and services to perform routine or emergency maintenance, deploy technical updates, or resolve security threats and technical issues. These measures ensure our platforms remain secure and continue to function optimally and as intended. We cannot be held responsible for such interruptions, but if this occurs, we will post a notice on our platforms and take all reasonable measures to remedy the situation and minimize any disruption or downtime.

App availability

We strive to keep our Site and App operational and working as expected. However, we cannot guarantee that our platforms will be accessible and available at all times, free of disruptions or errors.

We cannot be held responsible for any damage arising from the unavailability of our Site or App, or from any issues experienced when accessing or using them. This includes, but is not limited to, any issues related to delays, interruptions, service outages, network failures, computer hardware or software malfunctions, or faulty, incomplete, or unintelligible transmissions, as well as issues inherent to the use of the Internet or electronic communications, whether or not such issues were brought to our attention.

In the event of service interruption, downtime, malfunction, or unavailability, SOV par la cloche will not provide refunds, credits, or any other form of reimbursement or compensation to Users.

We reserve the right to suspend or discontinue access to our Site and App, our social media platforms, or our newsletter, in whole or in part, at any time and without notice. We are not liable for any damage resulting from such actions.

Provision of the services through the App

SOV par la cloche offers a mobile application that simulates incoming calls directly on the Users' phones. Designed for both personal and professional use, the App provides a polite, tactful way to exit uncomfortable social or professional situations or to end lingering conversations.

Please note that our App is not designed to imitate, parody, or impersonate actual emergency services, law enforcement and regulatory agencies, government entities, real companies, or specific individuals. The App uses computer-generated voices and generic, fictitious caller IDs. Any resemblance to actual events, facts, real individuals, characters or voices of individuals, living or dead, is purely coincidental.

User Account on the App

To use the App, you must create a user account (the "Account"). You must be at least 18 years old and hold a credit card to subscribe and create an Account.

As part of the subscription process, you will be required to provide personal information, specifically your email address and full name, to create your Account and set up your user profile.

Security and confidentiality

As the App User, you are solely responsible for maintaining the confidentiality of your login credentials, including your email address or username and your password.

As the App User, you agree to be the sole user of your Account. Any action or activity performed through your Account is deemed to have been performed by you.

Your Account and App subscription are personal to you and non-transferable. You may not share, sell, or grant access to your Account to any other person, nor may you use the App for the benefit of a third party.

If you become aware of any actual or potential breach of your Account's confidentiality or personal information, such as the unauthorized disclosure of your password, or if you suspect that someone else is accessing or using the App on your behalf, you must notify us immediately at info@sovparlacloche.com. We may suspend your access and delete your Account so that you can create a new, secure one.

We cannot be held responsible, directly or indirectly, for any damage or loss caused, or alleged to have been caused, by or in connection with the unauthorized use of your Account or any related breach of confidentiality.

SOV par la cloche has implemented the necessary security measures to protect the personal information it collects. These measures are proportionate to the sensitivity of said personal information. These security measures adhere to industry best practices and applicable laws to protect your personal information against loss, theft, or any unauthorized access, disclosure, copying, use, or modification.

While SOV par la cloche implements several security measures to adequately protect your personal information and mitigate risks associated with the loss, theft, or any unauthorized consultation, disclosure, copying, use, or modification of your personal information, a risk always remains. We cannot guarantee that your personal information will not be subject to a confidentiality breach in the event of a security breach or circumvention of security measures. By using our Site and App, or by following external links, you acknowledge and assume these risks.

SOV par la cloche recognizes the importance of your right to privacy and is committed to protecting the personal information we collect, use, and store in the course of our activities.

By navigating our Site or using our App, you acknowledge and consent to the collection, use, disclosure, and retention of your personal information as defined in, and in accordance with, our Privacy Policy. Appropriate use of the App, the Site and the services

By accessing and using the Site and App, you agree to comply with the terms set forth below. You also agree to conduct yourself in a respectful and law-abiding manner and to comply with all applicable local, provincial, territorial, or federal laws and regulations. In the event of a violation of these terms, SOV par la cloche reserves the right to revoke your access to the App, terminate your subscription, block you from our social media platforms, and delete any messages or content deemed inappropriate, hateful, defamatory, or offensive.

It is strictly prohibited to:

  • Use the Site and App for any purpose other than those for which they were intended and designed.
  • Use the App to commit illegal acts, engage in harassment, or deceive emergency services, law enforcement and regulatory agencies, government entities, or any individual.
  • Use the App to hurt, harm, or ridicule others.
  • Compromise the technical integrity of the Site and App by interfering with their operation and proper functioning, introducing viruses or other technologically harmful material, engaging in data scraping, or gaining unauthorized access to our systems and networks.
  • Engage in any activity that interferes with or disrupts the operation of the Site or App.
  • Violate intellectual property laws and regulations by copying, modifying, reproducing, or distributing the source code, content, scenarios, audio and video excerpts of SOV par la cloche, in whole or in part, without our prior written consent.
  • Act in an abusive manner, including using SOV par la cloche's social media platforms to post messages and content that are deemed insulting, defamatory, obscene, hateful, racist, homophobic, or that invades the privacy of others, as well as to impersonate a third party.
  • Exploit the service, including the Site, App, or their content, for unauthorized commercial gain, the distribution of unsolicited emails (spam), or for any other fraudulent activity.
  • Monitor, track, or collect any personal information regarding people who visit the Site and use the App.

Subscription, billing, and automatic renewal

You may access the App by downloading it to your phone.

You are solely responsible for all software requirements, data charges, and any other fees associated with accessing and using the App. This includes any costs incurred for exceeding the data limit on your mobile plan. It is the responsibility of both the device user and the device account holder to ensure compliance with their mobile service provider's terms and conditions.

SOV par la cloche currently offers a 30-day free trial. Any unused portion of a free trial period, if offered, will be forfeited when you purchase a subscription, where applicable. At the end of the trial period, you'll have to choose between a monthly or annual subscription to continue using the App. We reserve the right to modify, suspend, or discontinue the free trial offer at any time without notice.

Subscriptions and payments are processed through the App Store using your Apple ID or Google Play using your Google Account. Charges will be applied to your Apple or Google Account immediately upon purchase confirmation. Your subscription automatically renews, and your account will be charged for renewal unless cancelled at least 24 hours before the end of the current billing period.

By downloading the App and subscribing, you authorize the automatic payment of the initial subscription and renewal fees, in accordance with the terms set by the App Store and Google Play.

Please note that SOV par la cloche does not process transactions for the initial subscription payment or renewal fees. We rely on the subscription management systems of the App Store and Google Play to provide the App to the general public.

If you are using an iOS device, you can manage your subscription and disable auto-renewal in the Settings app, under the "Subscriptions" section of your Apple ID, after purchase.

If you are using an Android device, you can manage and cancel your subscription at any time within the "Payment & Subscriptions" section of your Google account, after purchase.

Termination and cancellation

You may cancel your subscription at any time. Please note that all cancellations must be managed through your Apple or Google account, not within the App settings.

Cancellations must be made at least 24 hours before the end of the current billing period, in accordance with the terms of the App Store and Google Play. Late cancellations may result in automatic renewal charges.

Refunds will not be provided for any unused portion of the term after purchase. When you cancel, you will retain App access until the end of the current billing period, after which access will end automatically.

Links to third-party sites and third-party resources

Our Site and App may include links to other sites that are not owned, operated, or controlled by SOV par la cloche inc. These sites are independent of our brand and company. Therefore, SOV par la cloche inc. is not responsible for the privacy practices, content (including links, documents, or images), or policies of such third-party sites.

By accessing these third-party sites — whether browsing, clicking links, creating accounts, conducting transactions, downloading content (documents and images), or engaging in any other activity — you assume all risks associated with your interactions on these sites. You also acknowledge that SOV par la cloche is not liable, directly or indirectly, for any loss or damage arising from your use of these third-party sites.

Intellectual property rights

SOV par la cloche inc. holds the copyright on the texts, graphic material (logos, illustrations, photos, images, and characters) and multimedia content (scenarios, audio and video excerpts) published on the Site, App, and social media platforms of SOV par la cloche.

You may view, download, share, and publish our content solely for personal use to promote our platforms, provided that such action is not-for-profit or for commercial use. In this case, the content must be used as is: you may not modify it, in whole or in part, and you must clearly mention the source as "Source: sovparlacloche.com".

If you would like to use trademarks, graphic design features, or multimedia content from SOV par la cloche, you must obtain prior written consent (Use of Content Agreement) from SOV par la cloche inc. To set up this kind of agreement, please send a request to info@sovparlacloche.com.

It is prohibited to:

  • Reproduce, reuse, or host any SOV par la cloche content, in whole or in part, on any medium (website, blog, mobile app, printed material, poster, promotional signage, etc.), regardless of the intended purpose.
  • Use the SOV par la cloche trademarks, logos, and content, in whole or in part, for advertising or commercial or for-profit purposes.

Any violation of intellectual property rights or the copyright provisions of these Terms of Use is strictly prohibited and may result in legal action.

Limitation of liability

Visitors and Users expressly acknowledge that access to and use of the SOV par la cloche Site and App are at their own risk and under their sole and exclusive responsibility.

To the maximum extent permitted by applicable law, SOV par la cloche, its officers, affiliates, partners, employees, representatives, subcontractors, suppliers, or service providers are not responsible for any damage arising, directly or indirectly, from use, performance, or unavailability of our Site, App, social media platforms, features, and content. This includes, but is not limited to, loss of reputation, social status, or professional opportunities.

SOV par la cloche is not responsible for any loss of data, financial loss, business loss, or any other damage arising from accessing and using the Site and App.

SOV par la cloche shall be held harmless from any liability for:

  • Any improper, abusive, non-compliant, illegal use, or misuse of the Site and App.
  • Any direct, indirect, incidental, special, punitive, or consequential damage.
  • Any loss of data, financial loss, loss of business, or consequential damage.
  • Any decision, action, activity, or omission by Users based on the information provided on the Site and App.
  • Any virus or other technologically harmful material that could affect your computer or electronic equipment.

  • Any malfunction, interruption, error, omission, service outage, scheduled or emergency maintenance, update, temporary or prolonged unavailability, or the discontinuation or deletion of the Site and App.

SOV par la cloche will not provide refunds, credits, or any other form of reimbursement or compensation to Users for temporary or prolonged service interruptions, failures, downtime, malfunctions, and bugs. This also applies to scheduled or emergency maintenance, as well as any other issue affecting the availability, accessibility, or performance of the Site and App.

You irrevocably waive any and all claims, demands, damages, causes of action, or any other form of compensation against SOV par la cloche arising out of or in connection with the access to, use of, or unavailability of the Site and App.

If you violate these Terms of Use or the permitted use of the Site and App, you agree, to the maximum extent permitted by applicable law, to defend, indemnify, and hold harmless SOV par la cloche, its officers, affiliates, partners, employees, representatives, subcontractors, suppliers, or service providers from and against all claims, liabilities, losses, expenses, costs, damages, judgments, or fees (including reasonable legal fees).

Transparency regarding the use of artificial intelligence

SOV par la cloche uses advanced Text-to-Speech (TTS) technology based on artificial intelligence (AI). Its use is limited to scenarios that are written, designed, and verified by our team. Users cannot upload custom texts to generate AI voices. This allows us to maintain full control over the scenarios, content, voices, and tones available in our App.

We take great care in verifying our content. However, Users acknowledge that AI technologies and software may contain imperfections (such as unusual vocal inflections, pronunciation errors, or subtle changes in tone). Software bugs may also occur. These technologies are not necessarily free of errors. By using the App, you assume full responsibility for any risks.

SOV par la cloche shall not be held liable for the following:

  • Any social consequences that may arise from the use of the App, directly or indirectly (e.g., a breakup or any dispute with third parties).
  • Any professional issues or setbacks that may be caused, directly or indirectly, by the use of the App (e.g., inability to leave a meeting, delays, or loss of a contract or business opportunity).
  • Any unfortunate or frustrating situation, or any damage, arising, directly or indirectly, from an interruption, service outage, scheduled or emergency maintenance, temporary or prolonged downtime, unavailability, or poor performance of the App, or from a network failure.

Applicable laws and competent jurisdiction

The Site, App, and the SOV par la cloche Terms of Use and Privacy Policy are governed by and shall be interpreted in accordance with the federal laws of Canada and the applicable laws of the Province of Quebec. This applies regardless of conflict of law principles.

Any claim, dispute, or disagreement about the Site, App, our social media platforms, or SOV par la cloche's Terms of Use and Privacy Policy shall be subject to the exclusive jurisdiction of the courts of the Province of Quebec.
